0. About this Agreement and about KeyZup
This Locksmith Company Agreement (the "Agreement") is between KeyZup ("KeyZup," "we," "us," or the "Platform") and the locksmith company that registers and accepts it ("Company," "you").
KeyZup is a technology marketplace and intermediary. KeyZup provides software connecting customers with independent locksmith companies and technicians. KeyZup does not perform locksmith services, does not employ your technicians, does not direct how services are performed, and is not a locksmith company. KeyZup is not a party to the service transaction between the customer and the Company or its technicians.
1. Authority of the owner/admin
1.1 The individual who accepts this Agreement represents and warrants that they are an owner or authorized administrator of the Company with authority to bind it, and that all information provided about the Company is accurate.
1.2 The owner/admin manages the Company's Platform account, including inviting and removing technicians, configuring assignment/offer permissions, and controlling billing. The Company is responsible for all actions taken through its account and by its admins.
2. Company responsibility for its personnel
2.1 The Company is solely responsible for its own employees, contractors, and technicians ("Personnel"), including their selection, engagement, supervision, direction, discipline, and removal.
2.2 KeyZup has no employment or contractual relationship with the Company's Personnel and does not supervise, direct, or control them. Personnel are not employees, agents, or contractors of KeyZup.
3. Employment classification of Personnel
3.1 The Company is solely responsible for correctly classifying its Personnel (as employees or independent contractors) under all applicable law and for all consequences of that classification.
Classification of Personnel. Whether a Company's technicians are employees or independent contractors of the Company is determined by law and facts, not by this Agreement. KeyZup does not classify the Company's Personnel, and KeyZup's platform features (such as assignment controls) do not make KeyZup the employer of any technician. The Company is solely responsible for the correct classification of its Personnel under the laws applicable to your jurisdiction.
4. Payroll, wages, taxes, benefits, and workers' coverage
4.1 The Company is solely responsible, as to its Personnel, for all: wages, overtime, and payroll; payroll and employment taxes and withholdings; benefits; workers' compensation and any other legally required coverage; unemployment; and all related filings and payments.
4.2 KeyZup does not pay the Company's Personnel and does not withhold or remit taxes for them. KeyZup does not provide workers' compensation or any coverage for the Company or its Personnel.
5. Training and supervision
5.1 The Company is responsible for training, supervising, and overseeing the safety, competence, and conduct of its Personnel, and for ensuring they perform services lawfully and professionally.
6. Licences and insurance — Company and per-technician
6.1 Company credentials. The Company must obtain and maintain all licences, permits, bonds, and insurance required for its business in each jurisdiction where it operates.
6.2 Per-technician credentials. The Company must ensure that each technician who performs services holds all individually required licences/permits and is covered by appropriate insurance where the law or licence requires individual coverage. Company-level credentials do not substitute for individually required technician credentials.
6.3 The Company must keep all credentials current, provide evidence on request, and promptly notify KeyZup of any lapse, suspension, or revocation.
7. Background-screening policy and attestation
7.1 The Company must maintain a lawful background-screening policy for its Personnel appropriate to locksmith work, and attests that it screens its Personnel consistent with that policy and applicable law.
7.2 Any consumer-report / background-check authorizations and disclosures required by law (FCRA and state/provincial equivalents) are the Company's responsibility as to its own Personnel and, where KeyZup runs technician-level checks, are handled through a separate standalone authorization and disclosure with the technician. Screening is point-in-time and not a guarantee of future conduct.
8. Technician roster accuracy; approval is per-technician
8.1 The Company must keep its technician roster accurate and current on the Platform, adding and removing technicians promptly.
8.2 Company approval does NOT automatically approve each technician. Approval or onboarding of the Company does not approve or verify any individual technician. Each technician must complete their own identity, licence, insurance, and background verification and accept the applicable technician terms before being eligible to receive or perform Platform jobs. The Company must not allow an unverified or unapproved technician to perform Platform jobs.
9. Removing members and revoking former-member access
9.1 The Company must promptly remove any technician who leaves the Company or is no longer authorized, and must revoke that person's access to the Company account, customer information, and job data.
9.2 The Company is responsible for any activity by a former member that results from the Company's failure to remove or revoke access promptly.
10. Direct customer payments
10.1 Customers pay the Company or its technician directly, outside the Platform, for services. KeyZup does not process, collect, hold, or remit the customer's service payment, and does not pay the Company or its technicians. There are no earnings, payouts, or wages from KeyZup.
10.2 The Company is responsible for lawful pricing, quoting, invoicing, and collection, and for honoring quotes as required by consumer-protection law. Where the Platform asks for a quoted or final price to be recorded, the Company must ensure it is recorded accurately (for records, fee calculation, and disputes — not as a KeyZup payment).
11. Company subscription
11.1 Platform access for companies is provided under a subscription at the price and interval disclosed in the app. Subscription fees are charged to the Company for access to Platform features and are separate from any per-job platform fees.
11.2 Subscriptions may renew automatically until cancelled in-app. KeyZup provides auto-renewal disclosures and cancellation options as required by the laws applicable to your jurisdiction. Fees are non-refundable except as stated in the schedule or required by law.
12. Wallet, platform fees, and authorized billing card
12.1 Platform fees. In addition to the subscription, the Company (or its technicians, per the account configuration) may owe per-job or per-lead platform fees. Platform fees are charged to Providers/Company — they are not deductions from any customer payment (KeyZup never holds the customer payment).
12.2 Wallet. A wallet may be used to fund platform fees only. It is not an earnings account, does not hold customer payments, and does not represent money owed by KeyZup.
12.3 Authorized billing card and auto-top-up. The Company may authorize a payment card and/or automatic wallet top-up. By enabling these, the Company authorizes KeyZup (and its processor) to charge the card for subscription fees, platform fees, and wallet top-ups at the configured thresholds/amounts. The Company may change or revoke authorization in-app, subject to settling outstanding amounts. Failed charges may result in restriction or suspension (Section 17).
13. Technician assignment and offer permissions
13.1 The Company may configure, within Platform features, how job requests are offered to or assigned among its technicians. The Company is responsible for using these controls lawfully and consistently with its own classification and employment obligations.
13.2 KeyZup's provision of assignment tooling does not make KeyZup the employer or dispatcher of any technician and does not transfer any of the Company's responsibilities to KeyZup.
14. Customer complaints and incidents
14.1 The Company must cooperate promptly and in good faith with KeyZup's handling of customer complaints, safety incidents, disputes, and investigations involving the Company or its Personnel, including providing accurate information and records.
14.2 The Company must report material safety incidents, injuries, property damage, or law-enforcement involvement arising from Platform jobs within the timeframe KeyZup specifies, and is responsible for its Personnel's reporting.
15. Data access and privacy
15.1 The Company and its authorized admins/technicians will access customer personal information solely to perform requested services and to operate the Company account. The Company must use it only for those purposes, protect it, comply with KeyZup's data-handling rules and applicable privacy law, and ensure its Personnel do the same.
15.2 The Company must limit internal access to those with a need to know, and must revoke access when a person leaves (Section 9). The Company must not sell customer information or retain it beyond what is necessary and lawful.
16. Indemnity
16.1 To the maximum extent permitted by law, the Company will indemnify, defend, and hold harmless KeyZup and its affiliates, officers, and staff from and against claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to: the services performed by the Company or its Personnel; the acts or omissions of the Company or its Personnel; classification, payroll, tax, benefits, or workers'-coverage matters relating to Personnel; damage to or loss of customer property; the Company's use of the Platform; breach of this Agreement or law; credential, insurance, or screening failures; or handling of customer information.
17. Suspension and termination
17.1 By the Company. The Company may stop using the Platform and request account closure, subject to settling outstanding subscription and platform fees.
17.2 By KeyZup. KeyZup may suspend, restrict, or terminate the Company's or any technician's access, with or without cause and with or without notice where permitted, including for suspected violation, safety concerns, failed or lapsed credentials/insurance/screening, roster inaccuracy, unpaid fees, or legal/risk reasons.
17.3 Effect. On termination, the Company's and its Personnel's right to use the Platform ends. Provisions that by their nature survive (fees owed, confidentiality/privacy, indemnity, limitations) survive.
18. Company responsibility for technician conduct
18.1 The Company is responsible for the conduct, competence, safety, professionalism, and legal compliance of its technicians on Platform jobs, including nondiscrimination, proper authorization and handling of customer property/access, and adherence to Platform safety and community rules.
18.2 Acts and omissions of the Company's Personnel are attributable to the Company as between the Company and KeyZup.
19. Legal compliance
19.1 The Company must comply with all laws applicable to its business and services, including licensing, employment and labor, wage-and-hour, tax, consumer-protection, privacy, and safety laws in each jurisdiction where it operates.
20. General
20.1 No employment/agency/partnership/franchise between Company and KeyZup. This Agreement does not create an employment, agency, partnership, joint-venture, or franchise relationship between the Company (or its Personnel) and KeyZup.
20.2 Disclaimer / limitation of liability. The Platform is provided "as is." To the extent permitted by law, KeyZup is not liable for indirect, incidental, or consequential damages, or for the services, conduct, or payment dealings between the Company, its technicians, and customers. Nothing limits liability that cannot be limited by law.
20.3 Assignment. The Company may not assign this Agreement without KeyZup's consent; KeyZup may assign to an affiliate or successor.
20.4 Entire agreement / severability. This Agreement, with the documents it references, is the entire agreement on its subject; if a provision is unenforceable, the rest remains in effect.
20.5 Governing law and disputes. This Agreement is governed by the laws of the state in which KeyZup is organized, without regard to its conflict-of-laws principles. Any dispute arising under it will be resolved in the courts located in that jurisdiction, except where applicable law provides otherwise.
